These Terms of Use (the “Agreement”) sets forth the terms and conditions that apply to your access and use of the website, and the software application (collectively, the “Service”) provided by Subspce, a Toronto-based business. The Service includes, but is not limited to, the Subspce Chrome Extension on desktop web browsers, and the website www.subspce.app (the “Website”).

By using the Service, you agree to be bound by this Agreement and the Privacy Policy, regardless of your use of the service. Moving forward, the term “you” or “User” refers to anyone using the Service. The term “we” or “our” refers to Subspce. You may not use the Service and you may not accept this Agreement if you are not of a legal age to form a binding contract with Subspce. If you accept this Agreement, you represent that you have the capacity to be bound by it or if you are acting on behalf of a company or entity that you have the authority to bind such entity. If you do not agree to this Agreement, please don’t use the Service.

For information about Subspce’s privacy and data protection practices, please read Subspce’s Privacy Policy found at www.subpace.app/privacy. Our privacy policy explains how Subspce collects, uses and shares your information that you provide when you access the Service. By using the Service, you consent to Subspce’s collection, use, and sharing of your information as set forth in our privacy policy.

The Service enables users to create their own subspaces on their browser. A subspace refers to a collection of browser windows and the tabs within those windows. The Service allows the users to create their own sessions with a date-timestamp for the start and end of it, and attach a subspace of their choosing to it. When the session starts, the collection of browser windows and tabs in the attached subspace will automatically open for the user.

By submitting this content to Subspce, you represent that you are entitled to submit it to Subspce for use for this purpose, without any obligation by Subspce to pay any fees or other limitations.

You expressly understand and agree that: Neither Subspce, any content owner or third party licensor, nor their respective directors, officers, employees, agents, contractors, subsidiaries or affiliated companies will be liable for any indirect, incidental, punitive, special, consequential or exemplary damages (even if Subspce or content owners have been advised of the possibility of such damages) or loss of any kind arising from your use of the Subspce service or from content, information, materials or products included on or otherwise made available to you through the Subspce service, or for any damages in excess of the amount paid for the specific item of content giving rise to the applicable claim for damages. You acknowledge and agree that your submission of any information is at your sole risk, and to the maximum amount permitted by law, Subspce hereby disclaims any and all liability to you for any loss or liability relating to such information in any way.

You shall defend, indemnify and hold harmless Subspce and its employees, from and against all claims and expenses, including but not limited to attorneys fees, in whole or in part arising out of or attributable to your use of the Service) or any breach of this Agreement by you or your violation of any law or the rights of a third party when using the Service.

Subspce may modify this Agreement from time to time. Any and all changes to this Agreement will be posted on the Website. In addition, the Agreement will always indicate the date it was last revised. You are deemed to accept and agree to be bound by any changes to the Agreement when you use the Service after those changes are posted.

Subspce integrates with Google Calendar allowing the user to seamlessly create subspace sessions while scheduling events on Google Calendar. On Google Calendar, upon creating an event, the user will be given the option of adding a subspace, and if selected, the event will automatically be added to the Subspce Chrome Extension as a scheduled session. Similarly, if a user creates a session in the Subspce extension, a corresponding event will be created on their Google Calendar. To provide this functionality, we request permissions to read, and write to the users Google Calendar. These privileges are used solely for the outlined functionality of the Service.

By using the Service, you recognize that the Subspce Service, including the Chrome extension and future applications, is subject to copyright laws. It may not be copied, reproduced, rebroadcast or commercially exploited in all or any part.

If any portion of this Agreement is deemed unlawful, void or unenforceable by any arbitrator or court of competent jurisdiction, this Agreement as a whole shall not be deemed unlawful, void or unenforceable, but only that portion of this Agreement that is unlawful, void or unenforceable shall be stricken from this Agreement. You agree that if Subspce does not exercise or enforce any legal right or remedy which is contained in the Agreement (or which Subspce has the benefit of under any applicable law), this will not be taken to be a formal waiver of Subspce’s rights and that those rights or remedies will still be available to Subspce. All covenants, agreements, representations and warranties made in this Agreement shall survive your acceptance of this Agreement and the termination of this Agreement.
